Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Sip Studio website (sipstudio.ai) and client portal (app.sipstudio.ai), operated by Sip Inc. ("Sip Studio," "we," "us," "our"). By accessing or using our website or portal, you agree to these Terms. If you do not agree, do not use our services.

Our services are also governed by our Privacy Policy and, for paying clients, a separate Service Agreement that defines deliverables, scope, and pricing.

2. What Sip Studio Does

Sip Studio is an AI-native visual agency. We produce video, social media content, and SEO-optimized project pages for architecture and design firms using AI-powered production tools. The client portal is where clients review, approve, and provide feedback on content before it is published.

3. Accounts

3.1 Eligibility

You must be at least 18 years old and able to enter into legally binding contracts to use our services. Our services are available to businesses operating in the United States.

3.2 Account Security

You are responsible for maintaining the security of your account credentials. Portal access is authenticated via magic link (email-based login). Do not share your login email with unauthorized individuals. If you believe your account has been compromised, notify us immediately at yi@sipstudio.ai.

3.3 Multi-User Accounts

Client accounts may have multiple authorized users (e.g., firm partners, team members). The primary account holder is responsible for managing who has access. Each user receives their own login.

4. Content and Intellectual Property

4.1 Your Content

You retain ownership of all project photos, brand assets, and other materials you provide to us ("Client Materials"). By providing Client Materials, you grant Sip Studio a limited, non-exclusive license to use them solely for the purpose of producing and publishing content on your behalf as part of our service.

4.2 Content We Produce

Content created by Sip Studio for you ("Deliverables") — including videos, images, carousels, captions, and SEO content — becomes your property upon payment. You own the final approved deliverables.

4.3 Portfolio and Marketing Rights

We may use Deliverables in our own portfolio, marketing materials, case studies, and social media to showcase our work — unless you explicitly request otherwise in writing. This is standard agency practice and helps us demonstrate our capabilities to prospective clients. To opt out, email yi@sipstudio.ai.

4.4 AI-Generated Content

Our Deliverables are produced using AI tools. While we ensure quality through human review and multi-stage approval, AI-generated content may occasionally contain imperfections. You are responsible for reviewing and approving all content before publication via the portal.

5. The Portal

5.1 Purpose

The portal at app.sipstudio.ai is for reviewing and approving content. It is not a self-serve content creation tool — you cannot generate content directly.

5.2 Approval Workflow

Content follows a two-stage approval process: keyframes (initial direction), then final video. Content is not published until you approve it. Your feedback and approval decisions are logged and used to improve future content for your account.

5.3 Availability

We aim to keep the portal available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will notify you in advance when possible.

6. Acceptable Use

You agree not to:

• Use the portal for any purpose other than reviewing and approving content produced by Sip Studio
• Attempt to access other clients' data or accounts
• Reverse-engineer, scrape, or extract data from the portal
• Use the portal to distribute malware or conduct unauthorized activities
• Misrepresent your identity or authority to act on behalf of a client account

7. Payment and Billing

Payment terms, pricing, and billing cadence are defined in your Service Agreement — not in these Terms. Stripe processes all payments. We do not store your payment card details. See our Privacy Policy for details on how payment information is handled.

8. Cancellation and Termination

8.1 By You

You may cancel your subscription at any time with 1 business day's written notice to yi@sipstudio.ai. Cancellation terms are defined in your Service Agreement.

8.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay, or if we reasonably believe continued service would expose us to legal liability. We will provide notice before termination except in cases of serious misuse.

8.3 After Termination

Upon cancellation or termination:

• You retain ownership of all approved Deliverables
• You may request export of your content within 90 days
• Your portal access will be deactivated
• Fees paid are non-refundable. Service continues through the end of the current paid billing period.

9. Limitation of Liability

To the maximum extent permitted by law:

• Sip Studio's total liability for any claim arising from or related to these Terms or our services is limited to the amount you paid us in the 3 months preceding the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
• We are not liable for the performance of content on social media platforms, search engines, or other third-party services. We produce and publish content — platform algorithms and audience behavior are outside our control.

10. Disclaimers

• Our services are provided "as is." We do not guarantee specific outcomes (follower growth, engagement rates, search rankings, or client acquisition).
• AI-generated content is reviewed by humans but may contain imperfections. The approval workflow exists so you can catch anything before publication.
• We are not responsible for actions taken by third-party platforms (Instagram, LinkedIn, TikTok, Google) regarding content we publish on your behalf, including content removal, account restrictions, or algorithm changes.

11. Indemnification

You agree to indemnify and hold Sip Studio harmless from claims, damages, and expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms, (b) your use of the portal, or (c) content published at your direction that infringes third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the portal at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the state or federal courts located in San Francisco County, California.
